While the clauses included in a federal subcontract also are often used in commercial contracts, the government contracts context of clauses in a federal subcontract can change the significance and effect of commercial contract language. This panel will focus on the language of clauses included in virtually every contract: Disputes, Indemnification, Limitation on Liability; Intellectual Property and others. This panel will address the significance of these clauses in the government contracts context, identify different approaches to drafting these clauses, and discuss “best practices” with regard to language and clause usage.
