Program Overview:
Once a litigator is involved in a matter, the language the transactional lawyer drafted provides the landscape of the legal battlefield. “Standard” provisions are found in every contract, but those provisions can significantly effect the parties’ rights in future disputes.
This CLE program will examine typical contract boilerplate provisions, reasons for including certain provisions, how those provisions can be modified to serve various purposes and bargaining postures, and how poorly or even well drafted provisions can negatively impact your client in litigation.
Included will be sample boilerplate provisions with drafting tips from both the transactional and litigator perspective.
