Government Contracting

Protorae Law’s Government Contracts practice provides counseling to international companies looking to expand into the federal government market.  We advise clients on compliance issues relating to government contracting, and help them draft and negotiate subcontracting agreements and other subordinate contracts.  We counsel contractors on governmental agency requests and notifications and, if necessary, represent clients in bid protests or other proceedings.

Employment Law

Our Employment Law attorneys advise clients on compliance with federal and state employment laws, including laws applicable to government contractors.  Additional services include preparing employment agreements, ownership equity agreements, employment handbooks, and litigation representation.

Corporate & Business Transactions

Protorae Law’s Corporate & Business attorneys assist clients with the formation and organization of corporations and limited liability companies, including counseling on the appropriate form of entity, necessary documentation and issues regarding location.

Our attorneys also prepare commercial contracts necessary for the conduct of business, including confidentiality agreements, contracting or management agreements, commercial leases and various types of financing arrangements.

Litigation

Our litigation and dispute team has extensive experience litigating and defending business-related claims, including claims brought by and against international clients.  Our practice includes experience arbitrating and mediating claims and effective use of technology to manage complex litigation.

Representative Transactions include:

  • Represented a Singapore company in a dispute with a large federal contractor over non-payment for the construction of Army garrisons in Afghanistan
  • Represented a government contractor in its negotiations with Libya to provide security training services to Libyan forces
  • Represented Dutch investor to review and negotiate its investment via a convertible note in a Delaware corporation
  • Represented a Dubai client in litigation in Virginia
  • Represented expat employee in transition to new employer, with equity stock options
